Terms of Use

EFFECTIVE August 15, 2026 · BORDERLESS CONCIERGE, LLC D/B/A QUIET DEPARTURE

Acceptance

These Terms of Use govern access to and use of the Quiet Departure client portal at client.quietdeparture.com, operated by Borderless Concierge, LLC (“we,” “us,” or “our”). By signing in you agree to these terms. If you do not agree, do not use the portal.

The portal is provided in connection with a separate written advisory engagement. These terms govern your use of the software and workspace only; they do not modify, replace, or limit the terms of your engagement agreement, which controls the advisory relationship itself. Where the two conflict on the scope of services, the engagement agreement governs.

Eligibility and accounts

Access is by invitation. Portal accounts are provisioned for engaged clients and their authorized household members, and for Quiet Departure personnel assigned to an engagement. You must be at least 18 years old. You are responsible for the accuracy of the information on your account.

Account security

Two-factor authentication is mandatory. You are responsible for keeping your credentials and second factor confidential and for all activity under your account. Notify us promptly at privacy@sorvantis.com if you suspect unauthorized access. Do not share your account, and do not attempt to access a workspace that is not yours.

Acceptable use

You agree not to:

  • —Access, or attempt to access, any engagement or data that is not your own
  • —Interfere with, probe, or disrupt the portal's security or operation
  • —Upload material that is unlawful, or that infringes the rights of others
  • —Upload materials which are subject to third-party confidentiality or exempt from disclosure, such as attorney-client work product, internal corporate or contractual documents, or similar items
  • —Use the portal to transmit malware or automated bulk requests
  • —Reverse-engineer, copy, or resell the portal software

On the fourth point: if a document is covered by someone else’s confidentiality — a non-disclosure agreement, attorney-client privilege, an employer’s internal papers — do not upload it here. Providing it to us does not make that disclosure permissible, and responsibility for any breach of a privilege or confidence rests with the person who uploaded it.

Confidentiality

The contents of your workspace — including all deliverables — are confidential and prepared solely for your named engagement. You may use them for your own purposes; you may not publish or distribute them outside your household or professional advisors without our written agreement. We treat your workspace with the same confidentiality.

Intellectual property

The portal software, its design, and the methodology and templates underlying our deliverables are owned by Borderless Concierge, LLC and its licensors. The finished deliverables prepared for your engagement are yours to use for your own purposes. Nothing here transfers ownership of our software, methodology, or brand.

Availability

We aim to keep the portal available and secure, but we provide it on an “as-available” basis and may suspend access for maintenance, security, or circumstances beyond our control. We may modify or discontinue features of the portal; where a change is material to an active engagement we will tell you.

Disclaimers and limitation of liability

The portal software is provided without warranties of any kind, express or implied, to the fullest extent permitted by law. This disclaimer applies to the software platform only and does not limit any obligation owed to you under your separate engagement agreement. To the fullest extent permitted by law, our liability arising from your use of the portal software is limited as set out in your engagement agreement.

Suspension and termination

We may suspend or terminate portal access if these terms are breached, if access is required to be withdrawn for security, or when your engagement concludes. You may stop using the portal at any time and ask us to close your account, subject to our retention obligations described in our Data Practices page.

Governing law

These terms are governed by the laws of the State of Minnesota, United States, without regard to its conflict-of-laws rules, except where your engagement agreement specifies otherwise.

Disputes

Any dispute arising out of or relating to the portal or these terms that the parties cannot resolve informally will be resolved by confidential, binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, before a single arbitrator, seated in Minneapolis, Minnesota. The arbitration, and the fact of the arbitration, are confidential. Judgment on the award may be entered in any court of competent jurisdiction.

Disputes are pursued in an individual capacity only — not as a plaintiff or class member in any class, consolidated, or representative proceeding. Either party may seek temporary or injunctive relief from a court where necessary to protect confidential information or intellectual property pending arbitration. Where your engagement agreement contains its own dispute-resolution provision, that provision governs disputes about the advisory services; this section governs disputes about the portal software.

Changes and contact

We may update these terms from time to time; material changes will carry a new effective date at the top of this page. Questions about these terms: privacy@sorvantis.com.
